Terms and Conditions / User Agreement

This User Agreement (“Agreement”) is a contract between you and TipQuik, Inc.TM(“Company”), and applies to your use of Merci and Merci360®products and services and any other Merci and Merci360 features, technologies, and/or functionalities offered by Company on our website, mobile app, or through any other means (the “Merci Services”). The Merci Services are provided to you subject to this Agreement as well as our Privacy Policy (“Privacy Policy”) which is available at www.merci360.com/privacy-update.

 

Please carefully read this Agreement. This Agreement sets forth the conditions that apply to your access to and use of the Merci Services. By accessing or using the Merci Services, you agree to be bound by this Agreement. We reserve the right to revise this Agreement at any time and in any way without notice by updating this posting. Your use of the Merci Services is subject to any such revisions and you have an affirmative obligation to periodically visit this page to review the current Agreement. Your continued use of the Merci Services after we have revised the Agreement means you consent to be bound by the revised Agreement. If you do not agree unequivocally to be bound by this Agreement or any revision, you must discontinue access to and use of the Merci Services.

A. MERCI SERVICE TERMS

Subject to the terms and limitations in this Agreement, the Merci Services allow you to send reviews/comments/feedback/communication to and accept reviews/comments/feedback/communication from third parties. The Merci Services are for use on your mobile device.

a.  Eligibility and Account Registration

i. Eligibility for individual accounts

To be eligible to use the Merci Services as an individual, you must be 13 years old or older, and download the app from the United States iTunes or Google Play stores. As further detailed in our Privacy Policy, in order to register, create and use an account, Company may require that you submit certain personal information, including but not limited to your name, email address, text-enabled cellular/wireless telephone number, street address or zip code, and date of birth to Company.  If an individual user does not want to download the app from the United States iTunes or Google Play stores, but would like to have a profile created for them on the Merci platform by Company to have their employer receive the reviews, a user may sign a consent form from Company along with additional needed pieces of information.  Please email Company at consentform@merci360.comto receive this form and fill out.

You agree that the personal information you provide to Company upon registration and at all other times will be true, accurate, current and complete, and you agree to maintain and update this personal information with us as necessary.

ii. Eligibility for business accounts

To be eligible to use the Merci Services for a business account, you must be the owner of the business or an approved agent.  As further detailed in our Privacy Policy, in order to register the business, create and use an account, Company may require that you submit certain business information, including but not limited to your Company name, EIN, company’s corporate address, and company’s store location address(es).   Merci3 is not responsible to/for any business who signs up with false information.

            iii.  Ineligibility

The following people are not allowed to use the Merci Services: (i) people who are less than thirteen (13) years of age; (ii) people who already had a Merci account that was terminated for cause; and (iii) people who do not have a United States zip code.

b. Types of Accounts

We currently offer both individual and business accounts. Regarding individual accounts, you may have only one individual account. If a user would like a second account, please email useraccounts@merci360.comfor further instructions.  Regarding business accounts, business accounts can have one account for its corporate office location, as well as multiple accounts per each business location.  For more details on creating a business account, please email businessaccounts@merci360.com.  As used in this Agreement, “review(s)” or “Give(s)” means comments, reviews, feedback, ratings, media and communications that a user provides in the user’s Merci account.  Individual accounts are for use in person-to-person or person-to-business reviews or “Gives” with other individuals or business accounts.  Please note that your reviews or Gives may become public, such as if a recipient chooses to upload such Give or review to social media.  Additionally, reviews or Gives may be viewed by people other than the intended recipient, such as if a person’s employer has the right to review such reviews or Gives.  You should not include in a Give or review any information, videos, pictures or other materials that you do not want to be disclosed publicly or viewed by third parties. Further you understand that if a business receives information about an employee, such business has no obligation to use that information or refrain from using that information in any way. Individuals understand and agree that employers have the right (but not the obligation) to use content that is provided pursuant to the Merci Services, including all Gives and reviews.

c. Submitted Reviews

Once a review or “Give” has been submitted, it cannot be reversed or canceled.

d. Fees

Currently, Company charges no fees for individual accounts using Merci.  Company does charge fees for business accounts.  For more information about business accounts, please email businessaccounts@merci360.com. Any fees imposed by a mobile carrier (e.g., for data plans, SMS charges etc.) are your sole responsibility.

e. Closing an Account

Regarding individual accounts, you may close your account by emailing cancelaccount@merci360.com.  Regarding business accounts, the owner of the business or an approved agent must submit in writing to Merci at PO BOX 941155, 225 Simi Village Dr., Simi Valley, CA 93094, their request to close and cancel their account.  Closing the account will be immediate and (i) no further charges to the business will be processed, (ii) no further employee reviews or feedback will be forwarded to the business, and (iii) no further direct communication from users will be forwarded to the business.  Any fees paid to Merci will not be refunded.  Business accounts will not be refunded for any partial time the account is closed.

f. Termination

Upon violation of this Agreement for any reason, we have the right to prohibit your access to the Merci Services, including without limitation by deactivating your username and password, and to refuse future access to the Merci Services by you.

g. Rules and Restrictions for Individual and BusinessMerci Accounts

The following Rules and Restrictions for individual and business Merci accounts apply to your use of an individual or business account under this Agreement. For purposes of this agreement, the term “employee” will refer to any employee, independent contractor, intern, affiliate or representative of a business.

i. Permission to forward reviews and content to other Merci users and their place of employment

By using Merci, users with an individual account give full and complete permission for Merci to forward all reviews to the place of employment listed when giving the review.  This review may be sent along with some or all of the following pieces of both the giving and receiving users’ account information including, but is not limited to, your first and last name, email address, profile picture, and dates and times of the review.  Both users in a review are defined as a) the user giving the review and b) the user receiving the review.

If the receiving users’ place of employment has a Merci business account, the business account will designate to Merci where to email the individual received reviews to.  If the users’ place of employment does not have a Merci business account, Merci will attempt to contact the business and let them know the individual user has been reviewed.  If the receiving user’s place of employment does not have a Merci business account, Merci may or may not forward any of the received reviews, along with any of the following account information of either the user giving the review, or the user receiving the review, to the business listed in the “where do you work?” field of the receiving user’s profile. The user account information that may be shared includes, but is not limited to ,your first and last name, email address, profile picture, and dates and times of the review.

If an individual user updates their place of employment in their profile to a new place of employment or sets it to blank/nothing, once notified, Merci will no longer forward the reviews and content to the prior place of employment.

User gives Company full permission to update their profile’s fields.  This may include, but not limited to, job title and place of employment, which is titled “Where do you work?,” fields based on the user’s employer and the employer’s information listed on their business account.

Regarding business accounts, the owner of this business account gives full and unequivocalpermission for Merci to forward all received reviews and content of employees with individual accounts, who list their place of employment as the business account’s name.  It’s the business’ responsibility to notify Merci of any employee status change at businessaccounts@merci360.com.  Once notified, Merci will no longer forward the reviews of any employee with an individual account who no longer works at the business account’s place of employment.

ii. Permission to use reviews and content for marketing purposes

User gives Company full and unequivocal permission to use your reviews, content and account identifiers, such as, but not limited to, your first name or profile picture, for marketing purposes.  Company uses the following, but not limited to, marketing channels to promote the Merci services:  social media channels, websites, email, print materials, media advertisements and print advertisements.          iii. Permission to edit reviews for marketing purposes

User gives Company full and unequivocal permission to edit your review in the following, but not limited to, methods.  Such methods are: rewording, reconstructing, paraphrasing, correcting spelling and punctuation and abbreviating.

          iv.  No liability for Gives or reviews

Company takes no responsibility and assumes no liability for any reviews or content transmitted by you, by us or any third party.  Company takes no responsibility and is not liable in any capacity for how the information is used, where the information is shared and why the information is shared. Both the individual account user and the business account user have the right to use the review and associated users’ account information in any such manner.  Company only provides the service of giving and receiving reviews.

B.  GENERAL TERMS AND CONDITIONS

You are responsible for your use of the Merci Services. You are responsible for any review or content you send using the Merci Services, and for any consequences thereof. The review or content you send may be viewed by the recipient, may be shared by the recipient (including, on social media) and may be shared to their employer. You should only send reviews and content that you would be comfortable sharing publicly.

Regarding being anonymous when giving a review, the receiver will not see the giver’s name, job title, place of work or profile photo/avatar.  The receiver will see the entire review, content and any media attached. Merci will still be able to see the full details of each user, such as the user’s name, profile photo/avatar, phone number, email address, as well as the details provided in the review.  If a review that is made anonymously is forwarded to a business account or an individual’s employer, only the review content and any media attached will be forwarded.  No personal information about the giver will be forwarded if the giver marks to be anonymous.

By using the Merci Services, you agree that you will not:

  • use a false name or e-mail address, impersonate any person or entity, provide inaccurate information, or otherwise mislead Company when registering;
  • send reviews or content that is false, threatening, abusive, fraudulent, discriminatory, harassing, bullying, offensive, disparaging, defamatory, libelous, obscene, vulgar, or pornographic, or which promotes violence;
  • send any review or content if you do not have the right to send such review or content, including, without limitation, music, video, photos and text that are the intellectual property of others;
  • violate any laws, third party rights or Company’s policies;
  • violate anyone’s right to privacy;
  • use the Merci Services if you are temporarily or indefinitely suspended from using the Merci Services;
  • use the Merci Services if you are under the age of 13;
  • share or disclose your login credentials with anyone;
  • distribute or post spam, unsolicited, or bulk electronic communications, chain letters, or pyramid schemes;
  • distribute viruses or any other technologies that may harm Company, or the interests or property of users of the Merci Services;
  • copy, modify or distribute rights or content from the Merci Services or Company’s copyrights and trademarks; or
  • harvest or otherwise collect information about users without their consent.

You hereby represent and warrant to Company that: (a) you are thirteen (13) years of age or older; (b) all information provided by you to Company is truthful, accurate and complete; (c) you will comply with this Agreement and any other agreement to which you are subject that is related to your use of the Merci Services or any part thereof; (d) your access to and use of the Merci Services, or any part thereof, and your creation or use of any Give or reveiw will not constitute a breach or violation of any other agreement, contract, terms of use or any law or regulation to which you are subject; and (e) you will not use the Merci Services in order to gain competitive intelligence about Company, the Merci Services or any product or service offered by Company or to otherwise compete with Company or its affiliates.

In the event that you send any reviews or content via the Merci Services, or that you distribute any reviews or content publicly via the Merci Services (including to any social media), you hereby make the following additional representations and warranties to Merci: (1) you are owner of such content or otherwise have the right to grant Company the licenses granted pursuant to this Agreement; (2) you have secured any and all consents necessary to send the content and to grant the licenses granted herein to Merci; (3) the content does not violate the rights of any third party, including, without limitation, the intellectual property, privacy or publicity rights of any third party; and (4) all factual information contained in the content is true and accurate.

Protecting your privacy is very important to us. Please review our Privacy Policy (www.merci360.com/privacy-update) in order to better understand our commitment to maintaining your privacy, as well as our use and disclosure of your information, and your rights if you release your own personal information.

If you receive information about another Merci user through the Merci Services, you must keep the information confidential and only use it in connection with the Merci Service. You may not disclose or distribute a Merci user’s information to a third party or use the information for marketing purposes unless you receive the user’s express consent to do so.

The Company reserves the right to suspend or terminate your use of the Merci Services: (1) for any reason in Company’s sole discretion; (2) in the event of violation or suspected violation of any of your agreements, representations or warranties; (3) to adjust, edit or alter information accordingly; or (4) to prevent unlawful conduct or suspected unlawful conduct.

C. INTELLECTUAL PROPERTY

“Merci360.com”, “Merci360”, “Merci” and all related logos, products and services described in our website and mobile applications are either trademarks or registered trademarks of Company or its licensors. You may not copy, imitate or use them without Company’s prior written consent. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of Company. You may not copy, imitate, or use them without our prior written consent. All right, title and interest in and to the Merci Services and any content thereon is the exclusive property of Company and its licensors.

Certain other product or service names, brand names and company names may be trademarks of their respective owners.

D. LICENSE AND SITE ACCESS

Company grants you a limited license to access and make personal use of the Merci Services, and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of Company. This license does not include any resale or commercial use of the Merci Services or its contents; any derivative use of the Merci Services or its contents; or any use of data mining, robots, or similar data gathering and extraction tools. The Merci Services may not, in whole or in part, be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose without express written consent of Company. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Company without express written consent. You may not use any meta tags or any other “hidden text” utilizing Company’s name or trademarks without the express written consent of Company. Any unauthorized use terminates the permission or license granted by Company.

Please note that Company has opened its Merci application programming interface (“API”), so you may be subject to agreements with third parties when using a service that was not created by Company. Company has no liability or responsibility for your use of these third party services.

E. YOURACCOUNT

If you use the Merci Services, you are responsible for maintaining the confidentiality of your login credentials and for restricting access to your computer and mobile device, and you agree to accept responsibility for all activities that occur under your login credentials. Company does not sell products or services for children. If you are under 13, you may not use the Merci Services. Company reserves the right to refuse service, terminate accounts, and remove or edit reviews or content in its sole discretion.

F. YOUR CONTENT AND DUTY TO INDEMNIFY

For all content that you distribute inside the Merci app to other users and publicly (including to any social media), you hereby grant Company a nonexclusive, royalty-free, fully paid-up, perpetual, irrevocable, and fully sublicensable and fully transferable and assignable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media now known or hereafter created. Without limiting the foregoing, you understand that at any time Company may modify the Merci Services so that content you submitted is displayed on a publicly accessible website or other publicly accessible medium. You grant Company and its sublicensees the unrestricted right to use the user’s Profile Name and Profile Picture/Avatar that you submit in connection with your use of the Merci Services, but you understand that your content may be used without attribution of any kind and you hereby irrevocably consent to such use. You represent and warrant that you own or otherwise control all of the rights to the content that you send via the Merci Services; that the content is accurate; that use of the content you transmit does not violate this Agreement and will not cause injury to any person or entity; and that you will indemnify and hold Company harmless from all claims, liabilities, fines, losses, expenses and costs (including reasonable attorneys’ fees and court costs) resulting from content you transmit (including Gives and reviews) and your use of the Merci Services. Company has the right but not the obligation to monitor and edit or remove any activity or content. Company takes no responsibility and assumes no liability for any content transmitted by you or any third party.  User Content, including any that may have been created by users employed or contracted by Merci does not necessarily reflect the opinion of Merci.

G. ELECTRONIC COMMUNICATIONS

When you use the Merci Services or send e-mails to Company, you are communicating with Company electronically. You consent to receive communications from Company electronically. Company will communicate with you by e-mail or by posting notices on its website or send messages to your account. You agree that all agreements, notices, disclosures and other communications that Company provides to you electronically satisfy any legal requirement that such communications be in writing.

H. NOTICES TO COMPANY

Notice to Company must be sent by postal mail to: TipQuik, Inc., Attention: Legal Department, Merci, PO BOX 941155, 225 Simi Village Dr., Simi Valley, CA 93094.

I. CALLS AND TEXT MESSAGES TO YOU

By Providing Company a telephone number (including a wireless/cellular telephone), you consent to receiving autodialed and prerecorded message calls from Company at that number should the need arise. You consent to receiving calls and text messages from Merci to ask for feedback and information about using Merci.  However, we will never call you for promotional purposes.

J. COPYRIGHTS, PATENTS AND TRADE SECRETS

Except as otherwise specified, all content included in the Merci Services, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Company or its content suppliers and protected by United States and international copyright, patent and trade secret laws, as applicable. The compilation of all content included in the Merci Services is the exclusive property of Company and protected by U.S. and international copyright laws. All software used in the Merci Services, including all functionality, is the property of Company or its software suppliers and protected by United States and international copyright, patent and trade secret laws, as applicable.

K. COPYRIGHT COMPLAINTS

Company respects the intellectual property rights of others and expects users of the Merci Services to do the same. Company will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your content has been copied in a way that constitutes copyright infringement, please provide us with the following information: (i) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material; (iv) your contact information, including your address, telephone number, and an email address; (v) a statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Company reserves the right to remove content alleged to be infringing without prior notice, at our sole discretion, and without liability to you. In appropriate circumstances, Company will also terminate a user’s account. Company’s designated copyright agent for notice of alleged copyright infringement appearing on the Merci Services is:

L. TRADEMARKS

TipQuik, Inc. is the exclusive owner of the trademark Merci360®which can be used only under license from TipQuik, Inc.  Company graphics, logos, page headers, button icons, scripts, and service names are trademarks, or trade dress of Company in the U.S. and/or other countries. Company’s trademarks and trade dress may not be used in connection with any product or service that is not Company’s, in any manner that is likely to cause confusion among consumers or in any manner that disparages or discredits Company. All other trademarks not owned by Company that appear on this site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Company.

 

M. OTHER BUSINESSES

Company provides certain functionality that allows the App to distribute content to the websites of other companies. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any of these businesses or the content of their websites. Company does not assume any responsibility or liability for the actions, product, and content of all these or any other third parties. You should carefully review their privacy statements and other conditions of use. The Merci Services may contain links, discussions and references to other websites, testing companies and/or products. The inclusion of these links does not imply an affiliation, sponsorship, endorsement or any relationship.

N. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

Company makes no representations or warranties and assumes no responsibility or liability as to the accuracy, completeness, reliability or usefulness of any information contained in the Merci Services. Further, Company expressly disclaims any obligation to update or correct information contained on the Merci Services, and explicitly disclaims any duty to do so. Company assumes no liability or responsibility for any errors or omissions in the content of the Merci Services. Company reserves the right to make additions, deletions or modifications to the information or materials in the Merci Services at any time and in any way without notice. 

The Merci Services and all information, content, materials, and products (including software) included on or otherwise made available to you through the Merci Services are provided by Company on an “as is” and “as available” basis, unless otherwise specified in writing. You assume all risk as to quality and accuracy. Company makes no representations or warranties of any kind, express or implied, as to the operation of the Merci Services or the information, content, materials and products (including software) included on or otherwise made available to you through the Merci Services, unless otherwise specified in writing. You expressly agree that your use of the Merci Services is at your sole risk. Company is not responsible for any errors, omissions, or incorrect information posted to the Merci Services in any advertisements.

To the full extent permissible by applicable law, Company disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and interference with your quiet enjoyment. Company does not warrant that the Merci Services, information, content, materials or products (including software) included on or otherwise made available to you through the Merci Services, their servers, or electronic communications sent from Company are free of viruses or other harmful components. Company will not be liable for any damages of any kind arising from the use of the Merci Services, or from any information, content, materials or products (including software) included on or otherwise made available to you through the Merci Services, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages.

Company does not and cannot guarantee 100% uptime of the Merci Services. If any technical problems occur, including but not limited to problems at our internet hosting site, Company is not liable for any damages that may occur, consequential or otherwise, as a direct or indirect use of the Merci Services.

In no event will Company or any of its affiliates be liable to you or to any third party for any special, incidental, punitive, exemplary or consequential damages (including loss of use, data, business or profits) arising out of or in connection with this Agreement or your use of the Merci Services, however caused and regardless of the theory of liability, even if Company or its affiliate has been advise of the possibility of such damages. This limitation shall be effective even if any remedy set forth herein fails of its essential purpose.

Regardless whether any remedy set forth herein fails of its essential purpose or otherwise, in no event shall Company’s aggregate liability under, arising from, or in any way related to, this Agreement from all causes of action of any kind, including contract, tort (including negligence), strict liability, breach of warranty, misrepresentation or otherwise exceed, individually or in the aggregate, one thousand dollars ($1000.00).

You and Company each agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. Unless both you and Company agree otherwise, no claim may be consolidated or joined with more than one person’s or party’s claims. Unless both you and Company agree otherwise, neither you nor Company may join any consolidated, representative, or class proceeding.

All claims, disputes or litigation arising out of or relating to this Agreement, in any form, manner or method whatsoever, shall be brought within one (1) year from the occurrence of the initial action, inaction or right which gave rise to such claim, dispute or litigation. This limitation of claims is a reflection of the risks assumed by the parties in order for you to obtain the right to use the Service.

Some state or other jurisdictions do not allow the disclaimer of implied warranties or the exclusion of certain damages, so the above disclaimers and exclusions may not apply to you. you may also have other rights that vary from state to state and jurisdiction to jurisdiction.

O. APPLICABLE LAW, JURISDICTION AND WAIVER OF JURY TRIAL

By using or accessing the Merci Services, you agree that applicable federal law, and the laws of the State of California, without regard to principles of conflict of laws, will govern this Agreement and any dispute of any sort that might arise between you and Company. Each party irrevocably consents and agrees to the exclusive jurisdiction of the California state or federal courts, as applicable, located in Ventura County. Each party waives, to the fullest extent permitted by law, any right to trial by jury in any action, suit, claim or proceeding brought to enforce, defend or interpret any rights or remedies arising hereunder, relating to or in connection with this Agreement.The United Nations Convention on Contracts for the International Sale of Goods, the provisions of the Uniform Computer Information Transactions Act, and the terms of the Uniform Commercial Code will not apply to the interpretation or enforcement of any portion of these terms.

P. LOSS OR THEFT OF LOGIN CREDENTIALS OR MOBILE DEVICE; ACCOUNT ERRORS

If you believe that any of your login credentials or mobile device containing the App has been lost or stolen, or if your account history shows reviews that you did not make, you must immediately contact Company at lossortheft@merci360.com. Company may monitor the review activity on your account and suspend reviews or prevent access to your account if Company reasonably suspects a risk of unauthorized reviews or other irregularities.

Q. CHILDREN’S PRIVACY

Protecting the privacy of young children is especially important. For that reason, we do not knowingly collect or solicit personal information from anyone under the age of 13 or knowingly allow anyone under 13 to register to use the Merci Services. If you are under 13, please do not send any information about yourself to us, including your name, address, telephone number, or email address. No one under age 13 is allowed to provide any personal or payment information to us through the Merci Services. If we learn that we have collected personal information from a child under age 13 without verification of parental consent, we will delete that information as quickly as possible. If you believe that we might have any information from or about a child under 13, please contact us at under13@merci360.com.

R. WAIVER AND SEVERABILITY

The failure of Company to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision. In the event that any provision of this Agreement are held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement will remain in full force and effect.

S. ENTIRE AGREEMENT

This Agreement is the entire and exclusive agreement between Company and you regarding the Merci Services, and this Agreement supersedes and replaces any prior agreements between Company and you regarding the Merci Services. Other than members of the group of companies of which Company is the parent or affiliate, no other person or company will be third party beneficiaries to this Agreement.

U. REVISION DATE

Terms and Conditions / User Agreement

This User Agreement (“Agreement”) is a contract between you and TipQuik, Inc.TM(“Company”), and applies to your use of Merci and Merci360®products and services and any other Merci and Merci360 features, technologies, and/or functionalities offered by Company on our website, mobile app, or through any other means (the “Merci Services”). The Merci Services are provided to you subject to this Agreement as well as our Privacy Policy (“Privacy Policy”) which is available at www.merci360.com/privacy-update.

 

Please carefully read this Agreement. This Agreement sets forth the conditions that apply to your access to and use of the Merci Services. By accessing or using the Merci Services, you agree to be bound by this Agreement. We reserve the right to revise this Agreement at any time and in any way without notice by updating this posting. Your use of the Merci Services is subject to any such revisions and you have an affirmative obligation to periodically visit this page to review the current Agreement. Your continued use of the Merci Services after we have revised the Agreement means you consent to be bound by the revised Agreement. If you do not agree unequivocally to be bound by this Agreement or any revision, you must discontinue access to and use of the Merci Services.

A. MERCI SERVICE TERMS

Subject to the terms and limitations in this Agreement, the Merci Services allow you to send reviews/comments
/feedback/communication to and accept
reviews/comments/feedback
/communication from third parties.
The Merci Services are for use on your mobile device.

a.  Eligibility and Account Registration

i. Eligibility for individual accounts

To be eligible to use the Merci Services as an individual, you must be 13 years old or older, and download the app from the United States iTunes or Google Play stores. As further detailed in our Privacy Policy, in order to register, create and use an account, Company may require that you submit certain personal information, including but not limited to your name, email address, text-enabled cellular/wireless telephone number, street address or zip code, and date of birth to Company.  If an individual user does not want to download the app from the United States iTunes or Google Play stores, but would like to have a profile created for them on the Merci platform by Company to have their employer receive the reviews, a user may sign a consent form from Company along with additional needed pieces of information.  Please email Company at consentform@merci360.com to receive this form and fill out.

You agree that the personal information you provide to Company upon registration and at all other times will be true, accurate, current and complete, and you agree to maintain and update this personal information with us as necessary.

ii. Eligibility for business accounts

To be eligible to use the Merci Services for a business account, you must be the owner of the business or an approved agent.  As further detailed in our Privacy Policy, in order to register the business, create and use an account, Company may require that you submit certain business information, including but not limited to your Company name, EIN, company’s corporate address, and company’s store location address(es).   Merci3 is not responsible to/for any business who signs up with false information.

iii.  Ineligibility

The following people are not allowed to use the Merci Services: (i) people who are less than thirteen (13) years of age; (ii) people who already had a Merci account that was terminated for cause; and (iii) people who do not have a United States zip code.

b. Types of Accounts

We currently offer both individual and business accounts. Regarding individual accounts, you may have only one individual account. If a user would like a second account, please email useraccounts@merci360.comfor further instructions.  Regarding business accounts, business accounts can have one account for its corporate office location, as well as multiple accounts per each business location.  For more details on creating a business account, please email businessaccounts@merci360.com.  As used in this Agreement, “review(s)” or “Give(s)” means comments, reviews, feedback, ratings, media and communications that a user provides in the user’s Merci account.  Individual accounts are for use in person-to-person or person-to-business reviews or “Gives” with other individuals or business accounts.  Please note that your reviews or Gives may become public, such as if a recipient chooses to upload such Give or review to social media.  Additionally, reviews or Gives may be viewed by people other than the intended recipient, such as if a person’s employer has the right to review such reviews or Gives.  You should not include in a Give or review any information, videos, pictures or other materials that you do not want to be disclosed publicly or viewed by third parties. Further you understand that if a business receives information about an employee, such business has no obligation to use that information or refrain from using that information in any way. Individuals understand and agree that employers have the right (but not the obligation) to use content that is provided pursuant to the Merci Services, including all Gives and reviews.

c. Submitted Reviews

Once a review or “Give” has been submitted, it cannot be reversed or canceled.

d. Fees

Currently, Company charges no fees for individual accounts using Merci.  Company does charge fees for business accounts.  For more information about business accounts, please email businessaccounts@merci360.com.
Any fees imposed by a mobile carrier (e.g., for data plans, SMS charges etc.) are your sole responsibility.

e. Closing an Account

Regarding individual accounts, you may close your account by emailing cancelaccount@merci360.com.  Regarding business accounts, the owner of the business or an approved agent must submit in writing to Merci at PO BOX 941155, 225 Simi Village Dr., Simi Valley, CA 93094, their request to close and cancel their account.  Closing the account will be immediate and (i) no further charges to the business will be processed, (ii) no further employee reviews or feedback will be forwarded to the business, and (iii) no further direct communication from users will be forwarded to the business.  Any fees paid to Merci will not be refunded.  Business accounts will not be refunded for any partial time the account is closed.

f. Termination

Upon violation of this Agreement for any reason, we have the right to prohibit your access to the Merci Services, including without limitation by deactivating your username and password, and to refuse future access to the Merci Services by you.

g. Rules and Restrictions for Individual and BusinessMerci Accounts

The following Rules and Restrictions for individual and business Merci accounts apply to your use of an individual or business account under this Agreement. For purposes of this agreement, the term “employee” will refer to any employee, independent contractor, intern, affiliate or representative of a business.

i. Permission to forward reviews and content to other Merci users and their place of employment

By using Merci, users with an individual account give full and complete permission for Merci to forward all reviews to the place of employment listed when giving the review.  This review may be sent along with some or all of the following pieces of both the giving and receiving users’ account information including, but is not limited to, your first and last name, email address, profile picture, and dates and times of the review.  Both users in a review are defined as a) the user giving the review and b) the user receiving the review.

If the receiving users’ place of employment has a Merci business account, the business account will designate to Merci where to email the individual received reviews to.  If the users’ place of employment does not have a Merci business account, Merci will attempt to contact the business and let them know the individual user has been reviewed.  If the receiving user’s place of employment does not have a Merci business account, Merci may or may not forward any of the received reviews, along with any of the following account information of either the user giving the review, or the user receiving the review, to the business listed in the “where do you work?” field of the receiving user’s profile. The user account information that may be shared includes, but is not limited to ,your first and last name, email address, profile picture, and dates and times of the review.

If an individual user updates their place of employment in their profile to a new place of employment or sets it to blank/nothing, once notified, Merci will no longer forward the reviews and content to the prior place of employment.

User gives Company full permission to update their profile’s fields.  This may include, but not limited to, job title and place of employment, which is titled “Where do you work?,” fields based on the user’s employer and the employer’s information listed on their business account.

Regarding business accounts, the owner of this business account gives full and unequivocalpermission for Merci to forward all received reviews and content of employees with individual accounts, who list their place of employment as the business account’s name.  It’s the business’ responsibility to notify Merci of any employee status change at businessaccounts@merci360.com.  Once notified, Merci will no longer forward the reviews of any employee with an individual account who no longer works at the business account’s place of employment.

ii. Permission to use reviews and content for marketing purposes

User gives Company full and unequivocal permission to use your reviews, content and account identifiers, such as, but not limited to, your first name or profile picture, for marketing purposes.  Company uses the following, but not limited to, marketing channels to promote the Merci services:  social media channels, websites, email, print materials, media advertisements and print advertisements. iii. Permission to edit reviews for marketing purposes

User gives Company full and unequivocal permission to edit your review in the following, but not limited to, methods.  Such methods are: rewording, reconstructing, paraphrasing, correcting spelling and punctuation and abbreviating.

 

iv.  No liability for Gives or reviews

Company takes no responsibility and assumes no liability for any reviews or content transmitted by you, by us or any third party.  Company takes no responsibility and is not liable in any capacity for how the information is used, where the information is shared and why the information is shared. Both the individual account user and the business account user have the right to use the review and associated users’ account information in any such manner.  Company only provides the service of giving and receiving reviews.

B.  GENERAL TERMS AND CONDITIONS

You are responsible for your use of the Merci Services. You are responsible for any review or content you send using the Merci Services, and for any consequences thereof. The review or content you send may be viewed by the recipient, may be shared by the recipient (including, on social media) and may be shared to their employer. You should only send reviews and content that you would be comfortable sharing publicly.

Regarding being anonymous when giving a review, the receiver will not see the giver’s name, job title, place of work or profile photo/avatar.  The receiver will see the entire review, content and any media attached. Merci will still be able to see the full details of each user, such as the user’s name, profile photo/avatar, phone number, email address, as well as the details provided in the review.  If a review that is made anonymously is forwarded to a business account or an individual’s employer, only the review content and any media attached will be forwarded.  No personal information about the giver will be forwarded if the giver marks to be anonymous.

By using the Merci Services, you agree that you will not:

  • use a false name or e-mail address, impersonate any person or entity, provide inaccurate information, or otherwise mislead Company when registering;
  • send reviews or content that is false, threatening, abusive, fraudulent, discriminatory, harassing, bullying, offensive, disparaging, defamatory, libelous, obscene, vulgar, or pornographic, or which promotes violence;
  • send any review or content if you do not have the right to send such review or content, including, without limitation, music, video, photos and text that are the intellectual property of others;
  • violate any laws, third party rights or Company’s policies;
  • violate anyone’s right to privacy;
  • use the Merci Services if you are temporarily or indefinitely suspended from using the Merci Services;
  • use the Merci Services if you are under the age of 13;
  • share or disclose your login credentials with anyone;
  • distribute or post spam, unsolicited, or bulk electronic communications, chain letters, or pyramid schemes;
  • distribute viruses or any other technologies that may harm Company, or the interests or property of users of the Merci Services;
  • copy, modify or distribute rights or content from the Merci Services or Company’s copyrights and trademarks; or
  • harvest or otherwise collect information about users without their consent.

You hereby represent and warrant to Company that: (a) you are thirteen (13) years of age or older; (b) all information provided by you to Company is truthful, accurate and complete; (c) you will comply with this Agreement and any other agreement to which you are subject that is related to your use of the Merci Services or any part thereof; (d) your access to and use of the Merci Services, or any part thereof, and your creation or use of any Give or reveiw will not constitute a breach or violation of any other agreement, contract, terms of use or any law or regulation to which you are subject; and (e) you will not use the Merci Services in order to gain competitive intelligence about Company, the Merci Services or any product or service offered by Company or to otherwise compete with Company or its affiliates.

In the event that you send any reviews or content via the Merci Services, or that you distribute any reviews or content publicly via the Merci Services (including to any social media), you hereby make the following additional representations and warranties to Merci: (1) you are owner of such content or otherwise have the right to grant Company the licenses granted pursuant to this Agreement; (2) you have secured any and all consents necessary to send the content and to grant the licenses granted herein to Merci; (3) the content does not violate the rights of any third party, including, without limitation, the intellectual property, privacy or publicity rights of any third party; and (4) all factual information contained in the content is true and accurate.

Protecting your privacy is very important to us. Please review our Privacy Policy (www.merci360.com/privacy-update) in order to better understand our commitment to maintaining your privacy, as well as our use and disclosure of your information, and your rights if you release your own personal information.

If you receive information about another Merci user through the Merci Services, you must keep the information confidential and only use it in connection with the Merci Service. You may not disclose or distribute a Merci user’s information to a third party or use the information for marketing purposes unless you receive the user’s express consent to do so.

The Company reserves the right to suspend or terminate your use of the Merci Services: (1) for any reason in Company’s sole discretion; (2) in the event of violation or suspected violation of any of your agreements, representations or warranties; (3) to adjust, edit or alter information accordingly; or (4) to prevent unlawful conduct or suspected unlawful conduct.

C. INTELLECTUAL PROPERTY

“Merci360.com”, “Merci360”, “Merci” and all related logos, products and services described in our website and mobile applications are either trademarks or registered trademarks of Company or its licensors. You may not copy, imitate or use them without Company’s prior written consent. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of Company. You may not copy, imitate, or use them without our prior written consent. All right, title and interest in and to the Merci Services and any content thereon is the exclusive property of Company and its licensors.

Certain other product or service names, brand names and company names may be trademarks of their respective owners.

D. LICENSE AND SITE ACCESS

Company grants you a limited license to access and make personal use of the Merci Services, and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of Company. This license does not include any resale or commercial use of the Merci Services or its contents; any derivative use of the Merci Services or its contents; or any use of data mining, robots, or similar data gathering and extraction tools. The Merci Services may not, in whole or in part, be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose without express written consent of Company. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Company without express written consent. You may not use any meta tags or any other “hidden text” utilizing Company’s name or trademarks without the express written consent of Company. Any unauthorized use terminates the permission or license granted by Company.

Please note that Company has opened its Merci application programming interface (“API”), so you may be subject to agreements with third parties when using a service that was not created by Company. Company has no liability or responsibility for your use of these third party services.

E. YOURACCOUNT

If you use the Merci Services, you are responsible for maintaining the confidentiality of your login credentials and for restricting access to your computer and mobile device, and you agree to accept responsibility for all activities that occur under your login credentials. Company does not sell products or services for children. If you are under 13, you may not use the Merci Services. Company reserves the right to refuse service, terminate accounts, and remove or edit reviews or content in its sole discretion.

F. YOUR CONTENT AND DUTY TO INDEMNIFY

For all content that you distribute inside the Merci app to other users and publicly (including to any social media), you hereby grant Company a nonexclusive, royalty-free, fully paid-up, perpetual, irrevocable, and fully sublicensable and fully transferable and assignable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media now known or hereafter created. Without limiting the foregoing, you understand that at any time Company may modify the Merci Services so that content you submitted is displayed on a publicly accessible website or other publicly accessible medium. You grant Company and its sublicensees the unrestricted right to use the user’s Profile Name and Profile Picture/Avatar that you submit in connection with your use of the Merci Services, but you understand that your content may be used without attribution of any kind and you hereby irrevocably consent to such use. You represent and warrant that you own or otherwise control all of the rights to the content that you send via the Merci Services; that the content is accurate; that use of the content you transmit does not violate this Agreement and will not cause injury to any person or entity; and that you will indemnify and hold Company harmless from all claims, liabilities, fines, losses, expenses and costs (including reasonable attorneys’ fees and court costs) resulting from content you transmit (including Gives and reviews) and your use of the Merci Services. Company has the right but not the obligation to monitor and edit or remove any activity or content. Company takes no responsibility and assumes no liability for any content transmitted by you or any third party.  User Content, including any that may have been created by users employed or contracted by Merci does not necessarily reflect the opinion of Merci.

G. ELECTRONIC COMMUNICATIONS

When you use the Merci Services or send e-mails to Company, you are communicating with Company electronically. You consent to receive communications from Company electronically. Company will communicate with you by e-mail or by posting notices on its website or send messages to your account. You agree that all agreements, notices, disclosures and other communications that Company provides to you electronically satisfy any legal requirement that such communications be in writing.

H. NOTICES TO COMPANY

Notice to Company must be sent by postal mail to: TipQuik, Inc., Attention: Legal Department, Merci, PO BOX 941155, 225 Simi Village Dr., Simi Valley, CA 93094.

I. CALLS AND TEXT MESSAGES TO YOU

By Providing Company a telephone number (including a wireless/cellular telephone), you consent to receiving autodialed and prerecorded message calls from Company at that number should the need arise. You consent to receiving calls and text messages from Merci to ask for feedback and information about using Merci.  However, we will never call you for promotional purposes.

J. COPYRIGHTS, PATENTS AND TRADE SECRETS

Except as otherwise specified, all content included in the Merci Services, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Company or its content suppliers and protected by United States and international copyright, patent and trade secret laws, as applicable. The compilation of all content included in the Merci Services is the exclusive property of Company and protected by U.S. and international copyright laws. All software used in the Merci Services, including all functionality, is the property of Company or its software suppliers and protected by United States and international copyright, patent and trade secret laws, as applicable.

K. COPYRIGHT COMPLAINTS

Company respects the intellectual property rights of others and expects users of the Merci Services to do the same. Company will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your content has been copied in a way that constitutes copyright infringement, please provide us with the following information: (i) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material; (iv) your contact information, including your address, telephone number, and an email address; (v) a statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Company reserves the right to remove content alleged to be infringing without prior notice, at our sole discretion, and without liability to you. In appropriate circumstances, Company will also terminate a user’s account. Company’s designated copyright agent for notice of alleged copyright infringement appearing on the Merci Services is:

L. TRADEMARKS

TipQuik, Inc. is the exclusive owner of the trademark Merci360®which can be used only under license from TipQuik, Inc.  Company graphics, logos, page headers, button icons, scripts, and service names are trademarks, or trade dress of Company in the U.S. and/or other countries. Company’s trademarks and trade dress may not be used in connection with any product or service that is not Company’s, in any manner that is likely to cause confusion among consumers or in any manner that disparages or discredits Company. All other trademarks not owned by Company that appear on this site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Company.

 

M. OTHER BUSINESSES

Company provides certain functionality that allows the App to distribute content to the websites of other companies. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any of these businesses or the content of their websites. Company does not assume any responsibility or liability for the actions, product, and content of all these or any other third parties. You should carefully review their privacy statements and other conditions of use. The Merci Services may contain links, discussions and references to other websites, testing companies and/or products. The inclusion of these links does not imply an affiliation, sponsorship, endorsement or any relationship.

N. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

Company makes no representations or warranties and assumes no responsibility or liability as to the accuracy, completeness, reliability or usefulness of any information contained in the Merci Services. Further, Company expressly disclaims any obligation to update or correct information contained on the Merci Services, and explicitly disclaims any duty to do so. Company assumes no liability or responsibility for any errors or omissions in the content of the Merci Services. Company reserves the right to make additions, deletions or modifications to the information or materials in the Merci Services at any time and in any way without notice. 

The Merci Services and all information, content, materials, and products (including software) included on or otherwise made available to you through the Merci Services are provided by Company on an “as is” and “as available” basis, unless otherwise specified in writing. You assume all risk as to quality and accuracy. Company makes no representations or warranties of any kind, express or implied, as to the operation of the Merci Services or the information, content, materials and products (including software) included on or otherwise made available to you through the Merci Services, unless otherwise specified in writing. You expressly agree that your use of the Merci Services is at your sole risk. Company is not responsible for any errors, omissions, or incorrect information posted to the Merci Services in any advertisements.

To the full extent permissible by applicable law, Company disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and interference with your quiet enjoyment. Company does not warrant that the Merci Services, information, content, materials or products (including software) included on or otherwise made available to you through the Merci Services, their servers, or electronic communications sent from Company are free of viruses or other harmful components. Company will not be liable for any damages of any kind arising from the use of the Merci Services, or from any information, content, materials or products (including software) included on or otherwise made available to you through the Merci Services, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages.

Company does not and cannot guarantee 100% uptime of the Merci Services. If any technical problems occur, including but not limited to problems at our internet hosting site, Company is not liable for any damages that may occur, consequential or otherwise, as a direct or indirect use of the Merci Services.

In no event will Company or any of its affiliates be liable to you or to any third party for any special, incidental, punitive, exemplary or consequential damages (including loss of use, data, business or profits) arising out of or in connection with this Agreement or your use of the Merci Services, however caused and regardless of the theory of liability, even if Company or its affiliate has been advise of the possibility of such damages. This limitation shall be effective even if any remedy set forth herein fails of its essential purpose.

Regardless whether any remedy set forth herein fails of its essential purpose or otherwise, in no event shall Company’s aggregate liability under, arising from, or in any way related to, this Agreement from all causes of action of any kind, including contract, tort (including negligence), strict liability, breach of warranty, misrepresentation or otherwise exceed, individually or in the aggregate, one thousand dollars ($1000.00).

You and Company each agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. Unless both you and Company agree otherwise, no claim may be consolidated or joined with more than one person’s or party’s claims. Unless both you and Company agree otherwise, neither you nor Company may join any consolidated, representative, or class proceeding.

All claims, disputes or litigation arising out of or relating to this Agreement, in any form, manner or method whatsoever, shall be brought within one (1) year from the occurrence of the initial action, inaction or right which gave rise to such claim, dispute or litigation. This limitation of claims is a reflection of the risks assumed by the parties in order for you to obtain the right to use the Service.

Some state or other jurisdictions do not allow the disclaimer of implied warranties or the exclusion of certain damages, so the above disclaimers and exclusions may not apply to you. you may also have other rights that vary from state to state and jurisdiction to jurisdiction.

O. APPLICABLE LAW, JURISDICTION AND WAIVER OF JURY TRIAL

By using or accessing the Merci Services, you agree that applicable federal law, and the laws of the State of California, without regard to principles of conflict of laws, will govern this Agreement and any dispute of any sort that might arise between you and Company. Each party irrevocably consents and agrees to the exclusive jurisdiction of the California state or federal courts, as applicable, located in Ventura County. Each party waives, to the fullest extent permitted by law, any right to trial by jury in any action, suit, claim or proceeding brought to enforce, defend or interpret any rights or remedies arising hereunder, relating to or in connection with this Agreement.The United Nations Convention on Contracts for the International Sale of Goods, the provisions of the Uniform Computer Information Transactions Act, and the terms of the Uniform Commercial Code will not apply to the interpretation or enforcement of any portion of these terms.

P. LOSS OR THEFT OF LOGIN CREDENTIALS OR MOBILE DEVICE; ACCOUNT ERRORS

If you believe that any of your login credentials or mobile device containing the App has been lost or stolen, or if your account history shows reviews that you did not make, you must immediately contact Company at lossortheft@merci360.com. Company may monitor the review activity on your account and suspend reviews or prevent access to your account if Company reasonably suspects a risk of unauthorized reviews or other irregularities.

Q. CHILDREN’S PRIVACY

Protecting the privacy of young children is especially important. For that reason, we do not knowingly collect or solicit personal information from anyone under the age of 13 or knowingly allow anyone under 13 to register to use the Merci Services. If you are under 13, please do not send any information about yourself to us, including your name, address, telephone number, or email address. No one under age 13 is allowed to provide any personal or payment information to us through the Merci Services. If we learn that we have collected personal information from a child under age 13 without verification of parental consent, we will delete that information as quickly as possible. If you believe that we might have any information from or about a child under 13, please contact us at under13@merci360.com.

R. WAIVER AND SEVERABILITY

The failure of Company to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision. In the event that any provision of this Agreement are held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement will remain in full force and effect.

S. ENTIRE AGREEMENT

This Agreement is the entire and exclusive agreement between Company and you regarding the Merci Services, and this Agreement supersedes and replaces any prior agreements between Company and you regarding the Merci Services. Other than members of the group of companies of which Company is the parent or affiliate, no other person or company will be third party beneficiaries to this Agreement.

T. HOW TO CONTACT MERCI
